What's In The Contract?

LESSON OVERVIEW

In this lesson we will go over some of the highlights of the contract so you can understand some of the components you are responsible for, and our working relationship.

CONTRACT OVERVIEW

1.     You're giving us permission to run a Background Screening prior towards placing referrals or anytime thereafter.

2.     The agency will help service providers to get more referral jobs by advertising and soliciting to clients and will provide a copy of the work order and client information to the service provider. In addition, the agency will also keep a record of each job as an extension of this contract for a reasonable period of time.

3.     As an independently established service provider you have full control over your work schedule and conditions. You can set your own hours, rates or service areas, and get to accept or decline any job offer from the agency.

4.     You are responsible for providing any material, equipment, tools or supplies needed to complete the job orders you accept from the agency. The agency will not provide any cleaning supplies and equipment for the job.

5.     You have full control of work meaning but not limited to representing that you are fully qualified and have the experience needed to complete the job orders. You are also fully responsible for client satisfaction with the cleaning and the agency will not provide any training.

6.     An awesome perk of working with an agency is having a non exclusive relationship, meaning you are free to work with other agencies and have clients of your own as well.

7.     Once you accept a job you are contractually obligated to complete the job order and you agree to give reasonable notice in the event you are unable to complete the work accepted.

8.     Service providers are responsible for client satisfaction. In the event a client complains about the services rendered, breakage, theft, or any other problem that occurred where the service were rendered, it is your responsibility to resolve these matters with the client directly. The agency will not be held liable and the service provider agrees not to involve the agency about any claims or damages.

9.     Service providers are responsible for renegotiating fees with clients when deemed necessary and are responsible for reporting all sub contracted work rendered to clients referred by the agency & any changes in the service total.

10.In the event that the client fails to make a payment or refuses to pay - The service provider is not responsible for the agencies fees, and the Agency is not obligated to pay the Pro's job fee.

11.     As a service provider you are responsible for all expenses occurred in connection with any services provided including but not limited to supplies, equipment, cell phone expenses, transportation.

12.     There is a financial risk if something breaks in a home, or you get a popped tire on the way to a job, there is financial risk if a client is unhappy with the services provided and refuses to pay or disputes a charge.

13.     The agency can not pay the service providers percentage as the agency is not the customer. The agency can only pay the providers percentage of the amount the customer paid. In an instance where the charge would be disputed, we would have to take back the percentage.

14.     Service providers are not employees of the agency, therefore the agency does NOT provide any benefits, reimbursements, or withhold any taxes.  Such as not having business reimbursements, no workers compensation, no 401k , medical or dental. And since we are not your employer we do not withhold taxes or any social security, disability, or unemployment insurance, therefore you are not eligible for it through our agency.

15.     It is your responsibility to apply for and maintain any licenses or permits needed by the state or local law.

16.     As required by law if the service provider reaches $600 in yearly earnings we will report all earnings on a 1099 and the service provider is responsible for filing their own taxes.

17.     Service providers agree that the information provided from the agency contains trade secrets and proprietary information which shall be kept confidential. The service provider agrees that this information is legally protected and will not use client information to solicit private services. There is a solicitation fee up to $7,500 per solicitation. You are not allowed to solicit the Agency's clients with your own services outside of the Agency.

18.     The relationship between a service provider and a client may only be terminated by one of those parties and not the agency. Agency may terminate this agreement if there is any breach in this agreement or the agency may decline sending more referral jobs to you if the agency receives complaints, or allegations of misconduct.

19.     The service provider agrees to indemnify, defend, and hold agency, its owners and all personnel associated harmless from any and all claims, losses, demands, negligence, injuries or any circumstance that may arise.

In addition to the original copy of the contract you signed and received, below is another copy of the contract to reference the remaining clauses. You can refer back to it whenever needed.

IMPORTANT!

●       You are not an employee of the agency, there's no unemployment benefits

●       Always remember the trade secrets section that you are not allowed to solicit the Agency's clients for private service

●       There is a solicit fee up to $7,500 per solicitation.
